Name Registered Seat and Purpose

Article 1
Under the name of UNION EUROPEENNE CONTRE LA NUISANCE DES AVIONS (Europäische Vereinigung gegen die schädlichen Auswirkungen des Luftverkehrs, European Union against Aircraft Nuisance), there is an association subject to Article 60 and the following of the Swiss Civil Code, with its registered seat in Geneva.

The association forms a legal personality. For its payables, the association funds are liable only. Any personal liability of individual members of the association is excluded.

Article 2
The purpose of the association is to fend off deleterious effects of air traffic and to achieve their prevention.

 

The obligations of the association

  1. To act in close collaboration with all national or international organisations aiming for the same objective, especially with the Association Internationale contre le Bruit (AICB).
  2. To establish relations with international organisations that are exclusively concerned about defending human beings including their physical, social, and spiritual health, as well as their higher economic interests, especially with the Council of Europe, the United Nations, the World Health Organization, and the UNESCO.
  3. To establish contacts with similar organisations on other continents with regard to the establishment of a World Organisation against Aircraft Nuisance.
  4. To watch over the execution of recommendations that were made by the organisations and the national and international congresses to remedy deleterious effects of air traffic.
  5. To inform public authorities, the public, and the private.
  6. To give information and furnish opinions.
  7. To collect documenting material.
  8. To provide orientation for the press and, where required, to publish a bulletin.
  9. To do and support research within the scope of fending off deleterious effects of air traffic.
  10. To form task forces.
  11. To hold conferences.
  12. To collaborate with all sites that are interested in fending off deleterious effects of air traffic.
  13. To support and unite the ambitions of the members and to aid fending off deleterious effects of air traffic in those countries that do not have their own organisations yet.
  14. To aid the formation of national unions against air craft nuisance.
  15. To manage an office.

Membership

Article 3
The association takes up members from national organisations, who both aim at fending off deleterious effects of air traffic, and who are autonomous as well as totally free to act. The membership applications have to be addressed to the office in writing. The final decision on the admission of members is taken by the board of managers. It is not obliged to justify the denial of an application.

Article 4
Considering a cancellation period of three months, a withdrawal is possible by the end of each calendar year. The notice of resignation has to be addressed to the office in form of a registered letter.

Anytime and without giving reasons, the exclusion of a member can be decided by the general assembly with at least two-thirds of all casted votes.

Members that either resigned from the association or that were excluded have no claim to the funds of the association.

They are liable for the amounts depending on the time of their membership.

Organisation

Article 5
The institutions of the association are:

A. the general assembly

B. the board of managers

C. the accountants

A. The General Assembly

Article 6
The general assembly is the supreme institution of the association. It is responsible for:

a – The constitution of the articles of the association and their amendment.

b – The election of the members of the board of managers.

c – The determination of the accountants.

d – The approval of the statement of account by the president, the annual financial statement, the report of the accountants, and discharge from liability.

e – The assessment of the annual membership fee.

f – The adoption of applications of the board of managers, accountants or individual members.

g – The adoption of all other matters that lie with the general assembly either by law or constitution.

Article 7
The assembly can take place at any place. Wherever applicable, it will take place on the occasion of conferences that are arranged by the association, one of its members or third parties.

Article 8
Each member has a vote in the general assembly. With reservation of deviant and mandatory provisions of law, it makes its decisions and holds its elections by absolute majority of all casted votes. In the event of a tie, it is the decision of the president.

A member can act for another member.

Article 9
The board of managers summons the general assembly according to requirements, as a general rule at least once a year. The members have to be invited in written form at least a month in advance. At the same time, the items of the agenda have to be announced.

Article 10
The written ballot equates the decision of the general assembly.

B. The Board of Managers

Article 11
The board of managers holds all authorities that are not reserved to other institutions by law or constitution.

Article 12
The board of managers consists of 3 – 7 members that are elected for a term of 3 years and that are re-eligible. It constitutes itself and elects a president, a vice-president, a secretary, and a cashier. The board of managers chooses the head of the permanent office. Furthermore, it nominates the persons that are authorised to represent and determines their way of signing.

The board of managers is entitled to appoint a committee among its members. It can delegate its individual authorities to this committee.

Article 13
Upon invitation of the president, the board of managers meets as often as required by business. He makes his decisions and holds his elections by simple majority of the casted vote. Decisions can also be made by way of circulation.

C. The Board of Control

Article 14
The general assembly elects one or more accountants for a term of office of one year. The accountants are re-eligible.

Membership Fees, Annual Fees

Article 15
The membership fees, optional fees of the members, other benefits, subsidies, donations, or legacies serve for funding the association.

Article 16
In each case, the account is settled per December 31. For the first time it was settled per December 31, 1968.

Cancellation and Consolidation

Article 17
A majority of two-thirds of all votes that are represented in the general assembly is required for cancellation or consolidation of the association. In the event of surplus assets that remain after cancellation, these assets shall be subjected to an organisation with related intentions.
